GENERAL COUNSEL
Serryn O’Regan is General Counsel for a national education provider. She directs the provider’s legal, corporate office legal advisory, legal aspects of corporate finance, quality standards, government and industry liaison, regulatory affairs, insurance, contract and large deal negotiations, and all legal advice for business operations, as well as external liaison, stakeholder management and strategic partnership management, including sectoral representative roles.
Serryn O’Regan has served as the manager of the Corporate Advisory & Company Secretarial unit of an international health-care company. Serryn was responsible for the legal function of the Australian and New Zealand Market Unit regarding Head Office Advisory, Legal Governance, Corporate Finance and the Company Secretariat. Serryn delivered a comprehensive and professional legal governance framework in respect of all companies in the ANZ group, which comprises an insurance arm, an approved provider of aged care, a charitable institution, an unlisted disclosing entity, various health-care services companies, 4 unit trusts and 2 trustee companies as well as corporate retirement villages and aged care companies within the Australia and New Zealand group.
Serryn was responsible for advice work on all aspects of corporate and commercial law. She represented the Board in legal advice. Serryn also played a pivotal role in mergers and acquisitions (M&A) and corporate restructuring including the merger of 3 funds, the completion of a large internal corporate restructure, and the acquisition of a health coaching business, an optical services chain, a wellness business and a dental provisioning corporate group. Managed the Australian aspects of various international and global re-financing transations working closely with the Group’s Treasury, Tax and Finance Departments. She managed the entire Company Secretariat of the ANZ Market Unit.

WORK IN CHARITIES
Serryn O’Regan held a senior executive role in a Washington DC based charity operating worldwide. Serryn was responsible for strategy, budgeting, securing funding, worldwide project direction and coordination, team management, global network coordination, public speaking nationally and internationally (including to audiences of up to 30,000 in China and Japan), presentations and submissions to funders, documentation and reporting directly to the CEO and Chairman of the Board of Directors. Serryn forged and coordinated relationships and programs with the United Nations. She directed and coordinated a network of 10,000 groups in 190 countries.
CONFLICTS OF INTEREST
Serryn performed a governance role in house for a large financial institution in Australia.​ She designed, conducted and reported to the Board on a firm wide assessment and review of conflicts of interest. Documented and presented a comprehensive written report on conflicts and risk management including reporting on regulatory matters, an assessment of the group’s current arrangements and recommendations, and documentation and presentation of a comprehensive strategy for implementation of a revised conflicts program group-wide.
GOVERNMENT CONSULTANT
Serryn was consultant to the NSW Government, Australia, to conduct the then only comprehensive legal review of Australian energy, environmental and building legislation in relation to renewable energy. She was engaged by the government to identify legislative impediments to the use of renewable energy and report to Federal and State governments. She secured funding for that work. Serryn was instrumental in changes to NSW electricity legislation in 1995.
CORPORATE AND COMMERCIAL PRACTICE
Serryn has worked in corporate and commercial since her commencement of the practice of law in 1993:

Serryn represented major North American interests in their successful A$2.4 Billion bid for Australia’s largest gas transmission pipeline. She acted for the bidding consortium and negotiated and drafted all equity agreements for the bid and associated equity restructure.

Coordinated large teams of lawyers and support staff. Led joint venture negotiations between large corporate players and their top tier legal representatives.

Represented prominent Australian coal company in its acquisition of large coal trucks; negotiated and drafted contract for supply and maintenance of trucks; managed contract through to completion.

Represented multinational oil and gas conglomerate in acquisition of gas-fired power plant and production sharing contract in Indonesia.

Acted for large multinational oil and gas company in corporate restructure worth > A$500 million.

Represented prominent oil and gas group in acquisition and sale of oil and gas tenements across Australia. Drafted all documents, negotiated with joint venture participants, corporate gas purchasers and their lawyers across Australia.

​Acted for joint venture in securing project finance in excess of A$300 million provided by a syndicate of international banks.

Performed comprehensive review of all aspects and documentation of Australian gas market reform.
